Terms and Conditions of Use

These Terms and Conditions ("Terms") govern your access to and use of the Cirva mobile application and all related services (collectively, "Cirva" or "the Service") operated by SAW Technologies Limited ("the Company," "we," "us," or "our"), a company incorporated under the laws of the Federal Republic of Nigeria. By downloading, installing, registering for, or using Cirva, you agree to be bound by these Terms.

1. Definitions

  • "Account" means the personal user account you create to access Cirva.
  • "Contribution" means a periodic payment made by a group member into a group savings pool.
  • "Group" means a savings or contribution group created on Cirva by one or more users.
  • "Group Admin" means the user who created a group or has been designated as the administrator.
  • "Loan" means funds disbursed to a group member from a group's pool, subject to repayment.
  • "Payout" means the disbursement of pooled funds to a group member according to the group's schedule.
  • "Wallet" means the digital wallet associated with your Cirva account.
  • "Savings Plan" means an individual savings arrangement (flexible, target, or locked).
  • "Transaction PIN" means the four-digit PIN you set to authorize financial transactions.
  • "BVN" means Bank Verification Number, issued by the Central Bank of Nigeria.

2. Eligibility

To use Cirva, you must:

  • Be at least 18 years of age.
  • Be a resident of Nigeria or any other country where Cirva is available.
  • Have a valid phone number and email address.
  • Provide accurate and truthful information during registration.
  • Have the legal capacity to enter into a binding agreement.

3. Account Registration and Security

3.1 Registration

You must create an account to use Cirva. During registration, you agree to provide accurate, current, and complete information. You are responsible for keeping your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and Transaction PIN. You agree to:

  • Not share your password, PIN, or account access with anyone.
  • Notify us immediately if you suspect unauthorized access to your account.
  • Use strong, unique passwords and enable biometric authentication where possible.
3.3 Account Verification

Certain features, including withdrawals and bank transfers, require identity verification through BVN. Failure to complete verification may limit your access to certain features.

3.4 One Account Per User

Each user may maintain only one Cirva account. Creating multiple accounts may result in suspension or termination of all associated accounts.

4. Wallet and Financial Transactions

4.1 Wallet

Upon registration, you are assigned a Cirva Wallet. Your Wallet is not a bank account. It is a digital ledger that records your available balance within the Cirva platform. Funds in your Wallet are held in pooled custodial accounts maintained with our banking partners.

4.2 Funding Your Wallet

You may fund your Wallet through bank transfer (using the virtual account number assigned to your account) or card payment (processed through Paystack). Deposits are subject to processing times determined by our partners.

4.3 Withdrawals

You may withdraw funds to a Nigerian bank account linked to your verified BVN. Withdrawal requests are typically processed within 24 hours. We reserve the right to delay or decline withdrawal requests if we suspect fraudulent activity.

4.4 Transfers

Transfers between Cirva Wallets are processed instantly. Once a transfer is completed, it cannot be reversed. Ensure that recipient details are correct before confirming.

4.5 Transaction Limits & Fees

We may impose daily, weekly, or monthly limits on transactions. Certain transactions may be subject to fees, which will be clearly disclosed before confirmation.

5. Savings Groups

5.1 Creating and Joining Groups

Users may create savings groups and invite other Cirva users to join. By creating a group, you become the Group Admin and accept responsibility for configuring the group's settings. By joining a group, you agree to the contribution schedule and payout structure.

5.2 Contribution Obligations

When you join a group, you commit to making contributions according to the schedule. Failure to make timely contributions may result in notifications, penalties, removal from the group, or restriction of your ability to join other groups.

5.3 Payout Modes

Cirva supports multiple payout structures including rotational, locked pool, milestone, flexible, and bidding modes. We facilitate the execution of payouts but are not guarantors of any particular outcome.

5.4 Risks of Group Participation

Participation in savings groups involves inherent risks, including members defaulting on contributions. While we implement safeguards, SAW Technologies Limited does not guarantee that all group members will fulfill their contribution obligations. We are not liable for losses arising from the actions of other group members.

6. Individual Savings Plans

Cirva offers three types of individual savings plans:

  • Flexible Savings: Save any amount at any time with no restrictions on withdrawals.
  • Target Savings: Set a savings goal and a target date. Early withdrawals may be subject to restrictions or penalties.
  • Locked Savings: Commit a fixed amount for a defined period. Funds cannot be withdrawn before the maturity date under any circumstances.

By creating a savings plan, you agree to the terms displayed at the time of creation. Upon maturity, funds will be made available in your Wallet.

7. Loans

Members of a savings group may request loans from the group's pooled funds, subject to sufficient funds and Group Admin approval. By accepting a loan, you agree to repay the full amount including any applicable interest. Failure to repay constitutes a default and may result in penalties, account restrictions, and legal action.

SAW Technologies Limited is not a bank, microfinance institution, or licensed lender. The loan feature facilitates peer-to-peer lending arrangements between group members.

8. Bill Payments

Cirva allows you to pay for airtime, mobile data, cable television, electricity, internet, betting, education, and insurance directly from your Wallet. Bill payments are processed through third-party providers and are generally non-refundable once successfully processed.

9. Group Chat

Cirva provides in-app messaging within savings groups. You agree not to use group chat to harass, threaten, or abuse other members; share illegal or offensive content; spam or impersonate others; or share another member's personal information without consent.

10. Prohibited Activities

You agree not to use Cirva for:

  • Money laundering, terrorist financing, or any other financial crime.
  • Fraud, identity theft, or impersonation.
  • Circumventing security measures, rate limits, or access controls.
  • Reverse engineering, decompiling, or disassembling the app.
  • Exploiting bugs or system errors for personal gain.
  • Creating groups or accounts for the purpose of scamming other users.
  • Any use that violates applicable law.

11. Intellectual Property

Cirva, including its name, logo, design, code, and features, is the exclusive property of SAW Technologies Limited. We grant you a limited, non-exclusive, non-transferable, revocable license to use the application on your personal device solely for its intended purpose.

12. Account Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account at any time if you violate these Terms, we suspect fraudulent activity, you fail to complete verification, or we are required to do so by law.

You may request account closure at any time by contacting support, subject to the settlement of outstanding obligations.

13. Disclaimers

Cirva is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free service. Nothing in Cirva constitutes financial, investment, or legal advice. We do not screen, vet, or guarantee the conduct of any user. Participation in groups is at your own risk.

14. Limitation of Liability

To the maximum extent permitted by law, SAW Technologies Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability shall not exceed the fees you have paid to us in the twelve months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless SAW Technologies Limited from any claims, damages, losses, liabilities, and expenses arising from your use of Cirva, violation of these Terms, or disputes with other group members.

16. Dispute Resolution

If you have a dispute with us, you agree to first attempt to resolve it informally by contacting us at sawtechnologieslimited@gmail.com. These Terms shall be governed by the laws of the Federal Republic of Nigeria. Disputes between group members are between the involved parties — we may assist with mediation but are under no obligation to resolve user-to-user disputes.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you at least fourteen (14) days before changes take effect. Your continued use of Cirva after the effective date constitutes your acceptance.

18. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SAW Technologies Limited regarding your use of Cirva. If any provision is found to be invalid, the remaining provisions continue in full force. Our failure to enforce any right does not constitute a waiver. We shall not be liable for delays or failures caused by events beyond our reasonable control.
